Welcome to 7nian. These Terms and Conditions govern the use of our Merchant App by restaurants and food outlets. By accessing or using the 7nian Merchant App, you agree to comply with these Terms. If you do not agree to these Terms, please do not use the Merchant App.

2. Merchant Registration

To use the 7nian Merchant App, you must register an account by providing accurate and complete information, including business details, contact information, and any required documentation. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account.

3. Services Provided

The 7nian Merchant App allows you to manage your restaurant's presence on our platform, including menu management, order processing, delivery coordination, and payment processing. We provide a platform for customers to place orders, which are transmitted to you via the Merchant App for preparation and fulfilment. We are not involved in the preparation or delivery of food and beverages.

4. Menu and Pricing

You are responsible for maintaining accurate and up-to-date information about your menu, including item descriptions, prices, and availability. You agree to honour the prices listed on the 7nian Merchant App at the time an order is placed. Any discrepancies may lead to disputes with customers and affect your standing on the platform.

5. Order Management

All orders received through the 7nian Merchant App must be promptly accepted, prepared, and made ready for delivery within the specified time frame. You must ensure that all orders are complete, correctly packaged, and comply with any special instructions provided by the customer. In the event of any delays or issues with order fulfilment, you must immediately notify the customer and our support team through the Merchant App.

6. Delivery and Fulfilment

Depending on the arrangement, delivery may be handled by your team, our delivery partners, or a third-party service. If you are responsible for delivery, you must ensure timely and professional service. You are responsible for the quality and safety of the food until it is delivered to the customer. Any complaints regarding food quality or order accuracy must be addressed promptly.

7. Payments and Settlements

Payments for orders will be processed through our payment gateway. You will receive payouts for completed orders after deducting applicable fees, commissions, and taxes as agreed upon in your Merchant Agreement. Payouts will be made according to the schedule specified in your Merchant Agreement. You are responsible for maintaining accurate banking information to receive payments.

8. Fees and Charges

We charge a commission on each order placed through the 7nian Merchant App, as specified in your Merchant Agreement. Additional fees may apply for marketing, promotions, or other services provided by us. We reserve the right to modify our fee structure or introduce new charges with prior notice. Continued use of the Merchant App after such changes constitutes your acceptance of the revised fees.

9. Merchant Obligations

You must comply with all applicable laws and regulations, including health and safety standards, food handling requirements, and business licensing requirements. You agree to provide high-quality service, including accurate order fulfillment, timely preparation, and professional delivery. Repeated customer complaints or violations of these standards may result in penalties or suspension from the platform.

10. Intellectual Property

All content, trademarks, logos, and other intellectual property displayed on the 7nian Merchant App are the property of 7nian or our licensors. You may not use any of these materials without our prior written consent.

11. Confidentiality

You agree to keep all non-public information, including customer data and platform details, confidential and not disclose it to any third party without our prior consent. You must take appropriate measures to protect any confidential information you access through the Merchant App from unauthorized use or disclosure.

12. Termination

We may terminate or suspend your access to the 7nian Merchant App at any time, with or without cause, including but not limited to breaches of these Terms or your Merchant Agreement. Upon termination, you must cease all use of the Merchant App, and any outstanding payments will be settled according to the terms of your Merchant Agreement.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of the 7nian Merchant App, including but not limited to loss of profits, business interruption, or data loss. Our total liability to you for any claim related to the use of the Merchant App shall not exceed the amount of fees paid by you to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, or liabilities arising out of or related to your use of the 7nian Merchant App, including any violations of these Terms or applicable laws.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will be communicated to you through the 7nian Merchant App, and your continued use of the Merchant App after such changes constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution
